Please find below links to the declarations of compliance, pursuant to § 161 Aktiengesetz (Stock Corporation Act), published on the internet by the companies listed on DAX and MDAX. We would be grateful if you let us know if any of the links are in the meantime out-dated.

§ 161 Aktiengesetz requires the following for the declaration of compliance:

(1) The executive board and supervisory board of the listed company shall declare annually that the recommendations of the “Deutscher Corporate Governance Kodex” published by the Federal Ministry of Justice in the official section of the Federal Gazette have been and are being complied with or which of the Code’s recommendations are not being applied and why. The same shall apply to the executive board and the supervisory board of a company which has exclusively issued other securities than shares for trading on an organised market in the sense of § 2 (5) of the Wertpapierhandelsgesetz [Securities Trading Act] and the issued shares of which shall, on the company’s own initiative, only be traded via a multilateral trading facility in the sense of § 2 (3) sentence 1 No. 8 of the Wertpapierhandelsgesetz [Securities Trading Act].

(2) The declaration shall be permanently accessible to the public on the company’s website.

* § 161 AktG (Stock Corporation Act) is addressed only to companies incorporated in Germany. For companies whose registered office is in other countries there mostly are comparable requirements to disclose a declaration of conformity.
